Terms of Service

1. What Sudridha is

Sudridha is a cloud-based system for restaurants: taking orders, running the kitchen, billing, staff and attendance, inventory, and reports. It is for business use by restaurants and their staff. You confirm you are allowed to act for the restaurant you register.

2. Accounts and approval

• New restaurants are reviewed before going live. We may approve, reject, or later suspend an account, for example for misuse or non-payment.
• Keep your login details and staff PINs private. You are responsible for what happens under your account, including actions by your staff. Tell us straight away if you think someone has gained access who should not have.
• The owner decides which staff get accounts and what role each one has. Give people only the access they need.

3. Free trial and payment

An approved restaurant may receive a free trial; we tell you its length when we approve the account. After that, access continues for the period you have paid for. Payments are recorded by us when received, and prices and billing periods are agreed with you directly. When a paid period or trial ends, the account may be suspended until it is renewed. We keep your data for a reasonable time afterwards so you can renew and continue.

4. Your data

• Your restaurant's data (menu, orders, bills, staff and customer records) belongs to you. You give us permission to store and process it in order to run the service.
• You are responsible for the accuracy of what you enter, including prices, tax rates, and staff and customer details, and for having the right to enter other people's information.
• Keep your own copies of records that matter to you (for example by exporting reports). Do not rely on Sudridha as your only record.

5. Tax and legal compliance are yours

Sudridha helps you produce bills and reports, but you are responsible for meeting Nepal's tax, VAT, and invoicing requirements. In particular, Sudridha does not currently claim to be software approved by, or connected to, the Inland Revenue Department's billing system. Before you rely on it for tax invoices, check whether your business is required to use approved billing software.

6. Payments are only recorded

When staff choose a payment method such as cash, card, eSewa, Khalti or credit, Sudridha records it. Sudridha does not process, collect, or hold any customer payment, and is not a payment provider.

7. Acceptable use

You agree not to:

• use the service for anything unlawful or to harm others;
• try to access another restaurant's data or break the service's security;
• overload the service or interfere with how it works;
• copy, resell, or reverse-engineer the service, except as the law allows.

8. Availability

We work to keep Sudridha running and to fix problems quickly, but we cannot promise it will always be available or error-free. There may be maintenance, outages, or problems with the providers we rely on. Some features work with limited connectivity, but a reliable internet connection is needed for the service to work fully.

9. Suspension and ending

You can stop using Sudridha at any time and ask us to close your account. We may suspend or end access if these terms are broken, if payment is overdue, or if we must for legal or security reasons. We will try to tell you why.

10. Disclaimers and limits on liability

The service is provided “as is” and “as available”. To the extent the law allows, we are not liable for indirect or consequential losses (such as lost sales or profit), or for losses from outages, data entry mistakes, or tax or compliance decisions you make. Where we are liable, it is limited to the fees you paid us for the three months before the event. Nothing in these terms limits liability that cannot be limited by law.

11. Changes to these terms

We may update these terms. If a change is significant we will tell you in the app or by email. Continuing to use Sudridha after a change means you accept it.

12. Governing law

These terms are governed by the laws of Nepal.
